Partner Program Agreement

By enabling a Partner membership and by submitting, creating, or sponsoring a quest, you agree to this Agreement. If you accept on behalf of a company or brand, you represent that you are authorized to bind that entity, and “you” means both you and that entity. You must be at least 18 and able to form a binding contract.

The Partner membership gives you access to the sponsored-quest creator — the ability to submit and, if approved by Blyzty, run a sponsored quest (a “sponsored week”) — plus the basic partner tools described in the app. Nothing else is included by default.

Blyzty may offer additional paid features and services from time to time (for example, a partner shop or a custom / expanded sponsorship). Those are not included in the membership, are purchased separately, and are subject to their own terms, scope, and pricing presented at the time of purchase.

“Partner Content” means everything you submit — quest ideas, text, images, brand names, logos, and other materials. You keep ownership of your Partner Content. You grant Blyzty a worldwide, non-exclusive, royalty-free license to host, use, reproduce, adapt (for formatting), display, and distribute your Partner Content in and in connection with Binggo and Blyzty, including to promote the quest and the app.

You represent and warrant that you own or have all rights necessary to submit your Partner Content and grant this license, and that it does not infringe or violate anyone’s rights.

You will not submit or sponsor a quest that:

• is illegal, dangerous, deceptive, or encourages unsafe behavior;
• is hateful, harassing, sexual, or otherwise objectionable;
• targets or is directed at children, or promotes alcohol, tobacco, gambling, weapons, or other regulated products to those who can’t lawfully use them;
• infringes intellectual-property, privacy, or publicity rights; or
• violates any applicable law, including advertising and consumer-protection laws.

You are responsible for making any disclosures required by law (for example, FTC guidance on sponsored/branded content).

Submitting a quest is a request, not a guarantee. Blyzty decides, in its sole discretion, whether to accept, schedule, edit for formatting, place, pause, or remove any quest, and may do so at any time. We do not guarantee that a quest will run, when it will run, how it will appear, how many people will see or complete it, or any particular reach, engagement, results, or revenue.

The Partner membership fee is billed as described where you subscribe (via the app store or on the web) and is governed by the Terms of Service and the applicable store’s rules. Any additional paid features or services are billed separately under the terms shown at purchase. Except where required by law or expressly stated, fees are non-refundable.

You keep your IP; Blyzty keeps all rights in Binggo, the Blyzty platform, and its trademarks. Neither party gets rights in the other’s marks except the limited license in Section 3 and any permission we give you to reference “Binggo” or “Blyzty” solely to describe your participation.

This Agreement applies while you are a Partner. Either party may end it at any time. Blyzty may suspend or terminate your Partner access or any quest immediately if you breach this Agreement or the Terms, or to protect the community or the Services. Ending a membership is handled through your subscription settings; termination doesn’t entitle you to a refund except as required by law. Sections that by their nature should survive (content license already used, IP, disclaimers, liability, indemnity) survive termination.

The Partner program is provided “as is” and “as available,” without warranties of any kind, to the fullest extent permitted by law. We don’t warrant any specific outcome from sponsoring or creating a quest.

To the fullest extent permitted by law, Blyzty will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Blyzty’s total liability arising out of or relating to the Partner program will not exceed the amount you paid to Blyzty for the Partner membership in the three (3) months before the event giving rise to the claim.

You will defend, indemnify, and hold harmless Blyzty from claims, damages, and expenses (including reasonable legal fees) arising from your Partner Content, your quests, your products or services, or your breach of this Agreement or the law.

You and Blyzty are independent parties. This Agreement does not create a partnership, joint venture, agency, franchise, or employment relationship, and neither party may bind the other. “Partner” is the name of a paid subscription membership tier, used for marketing purposes only; it is not a legal partnership and does not give you any ownership interest, equity, profit or revenue share, or right to hold yourself out as Blyzty’s partner, agent, or representative. You may say that you are a “Blyzty Partner member” or that you sponsor a Binggo quest, but not that Blyzty endorses, owns, or is legally partnered with you or your business.

This Agreement is governed by the laws of the State of Kansas, United States, without regard to its conflict-of-laws rules. The dispute-resolution and arbitration terms in the Blyzty Terms of Service apply to this Agreement.

We may update this Agreement. If we make material changes, we’ll update the version and date above and, where appropriate, ask you to accept again before you submit or sponsor another quest. Continuing to participate after an update means you accept the updated Agreement.
